Terms of Service

These Terms of Service (“Terms”) govern your use of SOPflow. By creating an account or using the service you agree to these Terms. If you are creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
The service
SOPflow is a software-as-a-service tool that helps your organization document, distribute, and follow standard operating procedures inside web applications you already use. The service includes a web application accessed at our domain and an optional Chrome browser extension that displays SOP guidance alongside those applications.
Accounts
Your administrator creates the organization account and may invite additional users. Each user is responsible for keeping their login credentials confidential and for all activity on their account. You agree to provide accurate information at signup and to keep it current. We may suspend or terminate any account that violates these Terms or that we reasonably believe was created fraudulently.
Acceptable use
You agree not to use SOPflow to do anything illegal, to interfere with the service’s operation, to attempt to access another organization’s data, or to redistribute SOP content to parties outside your organization without our written consent. You will not reverse engineer the application or scrape it programmatically beyond the documented integration points.
Subscriptions and billing
Paid plans are billed in advance on a recurring basis through Stripe. Your subscription renews automatically at the end of each billing period until cancelled. You may cancel from your billing settings at any time; cancellation takes effect at the end of the current billing period and you will not be charged again. We do not offer prorated refunds for partial periods, but we will refund a current charge if you cancel within seven days of the most recent renewal and have not used the service in that window.
We may change pricing with at least thirty days’ advance notice to the administrator on the account. Existing subscriptions retain their current pricing until the next renewal after the change takes effect.
Your content
If your organization adds custom SOPs to SOPflow, you retain all rights to that content. You grant us a non-exclusive license to store and display it for the purpose of operating the service. We do not use customer SOP content to train AI models or for any purpose other than serving it back to your authorized users.
Our content
The library of pre-authored SOPs we ship with the service is licensed to you for internal use within your organization for the duration of an active subscription. You may not republish, sublicense, or sell that content to third parties.
Termination
You may terminate your account at any time from your billing settings. We may terminate or suspend an account for material breach of these Terms with reasonable notice unless the breach is severe enough to require immediate action. Upon termination we will provide you a thirty-day window to export your custom content, after which it will be deleted as described in our Privacy Policy.
Disclaimers and limitation of liability
SOPflow is provided “as is.” We do not guarantee that the service will be uninterrupted or error-free, that the SOP content is exhaustive, or that following an SOP will produce a particular outcome inside the third-party applications it describes. Third-party applications may change in ways that make our SOPs inaccurate; we work to keep them current but cannot guarantee real-time accuracy.
To the maximum extent permitted by law, our total liability to you for any claim arising out of these Terms or your use of the service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost profits or lost data.
Governing law and disputes
These Terms are governed by the laws of the state in which SOPflow is incorporated, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that state, and you and we each waive any right to a jury trial.
Changes to these Terms
We may update these Terms as the service evolves. Material changes will be communicated by email to the administrator on each account at least thirty days before they take effect. Continued use after the effective date constitutes acceptance.
